What is Corporate Compliance? Why is the Corporate Compliance so important? How to structure and build an effective compliance system? What are the important contents of a compliance system?

Compliance is a relatively strange word to many domestic enterprises, especially to those small and medium-sized enterprises, except for those large-scale state-owned enterprises, foreign enterprises, and bank or security companies. Law View Partners is a commercial law firm to offer tailor made legal services to our customers, who is always on the forefront of compliance practice and research. In order to help more business operators and managers to better understand the Compliance, Law View Partner organizes this Compliance Seminar to share our experiences in this area. a. This Compliance seminar will be the first seminar of series of company law seminars of Law View Partners.

b. The presentation will be in Mandarin. This seminar is consisted of 4 parts which will be lectured by Partners of Law View Partners and Special Guests, and the contents of each part are as follows (details please refer to annex one):

---- Compliance Management for Merger and Acquisition deals.

Part Three: Prevention and Control of legal risks on labor issues during enterprises operations--by Anson Shen

i. Common legal risks of labor issues (including employee non-competition, social security, employee handbook, labor dispatch, etc.);

ii. The negative impacts on enterprises in case of overlook aforesaid issues (case analysis);

iii. Correspondence methods and preventions of enterprises.

Part Four: Compliance Management on Merger and Aquisition--by Michael Qu

i. Compliance investigation in Legal Due Diligence;

ii. Anti-corruption investigation in cross-border M&A;

iii. The impacts of Compliance investigation on Deal Structure and Contracts Terms;

iv. Building Compliance system after M&A.
